Overview
Did you know that several studies have demonstrated a strong link between the implementation of international corporate governance best practices and successful capital raising because investors have more confidence in the future potential of companies with strong corporate governance practices.
The belief of these investors is not without foundation because other studies have also shown links between a firm’s year on year success and the sophistication, breadth, and depth of its corporate governance practices.
In short, companies that adopt strong corporate governance practices raise money frequently and are much more successful.
According to the Chartered Governance Institute UK and Ireland, corporate governance is defined as a system of rules, practices and processes by which a company is directed and controlled.
This sounds simple enough, but corporate governance is a system that looks clear on paper but can be very difficult to implement practically.
The difficulty arises because of an internal tension within corporate identity at large. On the one hand, the orthodox view within legal and economic circles has always been that a company exists to maximize value for its shareholders and I can add an addendum to that by suggesting that shareholder means majority shareholder(s).
On the other hand, a good corporate governance model is one that considers the best interest of multiple stakeholders which will include majority and minority shareholders, potential investors, creditor, suppliers, management, employees, governments and the interest in the wider society which has now been codified primarily in the provisions of ESG principles.
Herein lies the difficulty because depending on which stakeholder one is considering, the emphasis changes and the reality of running a company is oftentimes the interests of the stakeholders can be diametrically opposed to one another.
It is within this context that we have created this course to guide companies on how to navigate the complexities of modern corporate governance.
